A premier post-trade infrastructure platform is currently seeking an Assistant General Counsel who is an expert in SaaS, software licensing, and procurement agreements. This individual will be a member of the General Counsel's office and will be primarily responsible for providing legal advice and guidance to the firm's worldwide procurement and sourcing team. This AGC will also support the contracts team in the area of procurement and sourcing to negotiate and finalize vendor agreements of all types.
This attorney will also have an opportunity to work with other team members within the group in order support special projects and frequently collaborate with various different business units. This is a key growth hire for the firm with great visibility to leadership and upwards mobility within the firm.
Responsibilities of the Assistant General Counsel:
- Support contract negotiation conducted by contract specialists within the Firm's Corporate Procurement Services ("CPS") team to ensure compliance
- Provide legal expertise on contractual interpretation issues for CPS and on other enterprise initiatives
- Draft custom agreements, letters, notices, and similar documents or communications as needed for procurement transactions
- Directly negotiate agreements of significant size, importance, or dollar value
- Regularly engage with subject matter experts such as other in Legal, Business, IT, Finance, Compliance, Privacy, and Risk
Qualifications of the Assistant General Counsel:
- 7+ years as a practicing lawyer, with experience handling SAAS / software licensing agreements and/or procurement contracting matters and/or complex commercial agreements in a regulated financial services company
- S. licensed lawyer in good standing where admitted
- Knowledge of and experience with general contract and commercial law
- Good partner management and relationship-building skills to navigate a large organization and facilitate business in compliance with internal policies and applicable law
- Strong analytical skills and creative and collaborative negotiation skills, excellent organizational skills, sound judgment, and clear and effective written and oral communication skills
