We are currently partnering with a fast-growing Fintech company that is seeking to hire their first in-house lawyer at the Associate General Counsel level to their team. This company is built on AI technology focused on the real estate market and have grown their revenues significantly year on year. This role would have a heavy focus on M&A and securities filings as acquisition as a major part of their growth strategy and they are a public company. You would also act as a generalist and assist the C-suite on various business and Legal matters.
Responsibilities:
- Oversee and handle all M&A transactions from inception to closing, largely focused on acquisitions of other companies. This includes due diligence and reviewing/drafting relevant documents.
- Advise on execute on SEC flings for the company
- Draft and negotiate commercial contracts including MSAs, SOWs, SaaS agreements, and more
- Advise on corporate governance matters including board and shareholder meetings, fiduciary duties, and shareholder rights
- Strategize with C-level executives regarding business and legal matters for the firm
- Manage and liaise with outside counsel
Qualifications:
- JD from an accredited university
- Direct experience handling M&A transactions and securities filings
- 3+ years of experience in a law firm or in-house setting
- Strong written and oral communication skills
