Job Description
The Corporate Counsel will be responsible for numerous duties that effect all aspects of the company's business and will report directly to the company's Chief Legal Officer and VP, Senior Counsel. A summary of the essential functions for this position are below.
Responsibilities
- Provide legal advice on all aspects of insurance laws and regulations
- Participate and advise on corporate legal matters
- Draft, review and negotiate a variety of contracts and represent the company in insurance-related negotiations and transactions with key clients, including reinsurers, program administrators and claims administrators
- Advise on commercial and personal insurance matters, such as policy and contract construction, program structure, reinsurance, and coverage issues
- Respond to regulatory requests, exams, and complaints with internal stakeholders, executives and insurance regulators
- Analyze the risk presented and work to identify and implement solutions for regulatory issues
- Advise on litigation matters, including alternative dispute mechanisms
- Research and provide necessary regulatory updates as needed
- Oversee contract management
- Interact with management team and board of directors to advise on corporate governance and secretarial matters
- Perform other related duties and participate in special projects as assigned
Minimum Skills and Competencies:
- JD from an accredited law school
- Licensed to practice law in Illinois
- 5+ years of legal experience as in-house counsel or within a law firm, with a focus on insurance transactional, regulatory and compliance matters
- Demonstrated communication skills, verbal and written, with a variety of audiences at all levels, both internal and external
- Ability to manage and collaborate with cross-functional teams
- Extremely organized with great attention to detail
- Proficient in Microsoft Office (Word, Excel, Outlook, PowerPoint)
