Position Summary
The Associate General Counsel - Securities will serve as a key legal advisor on securities regulation, corporate governance, and compliance matters. This role requires deep expertise in securities laws, including SEC reporting, public company disclosure obligations, and corporate governance best practices. The ideal candidate will have experience in a publicly traded company or a law firm advising public clients.
Key Responsibilities
Securities & Corporate Governance:
- Advise on compliance with federal securities laws, including the Securities Act of 1933 and the Securities Exchange Act of 1934.
- Oversee the preparation and filing of SEC reports, including 10-Ks, 10-Qs, 8-Ks, proxy statements, and Section 16 filings.
- Ensure compliance with stock exchange listing requirements and corporate governance standards.
- Support the General Counsel and Board of Directors on governance matters, including shareholder engagement and ESG disclosures.
Public Company Reporting & Disclosure:
- Lead the drafting and review of earnings releases, investor presentations, and press releases related to securities matters.
- Monitor and interpret regulatory developments affecting public company disclosure requirements.
- Collaborate with finance, investor relations, and compliance teams to ensure accurate and timely disclosures
Qualifications & Experience:
- J.D. degree from an accredited law school and active bar membership in at least one U.S. jurisdiction.
- 7+ years of legal experience, including law firm and/or in-house experience in securities law, corporate governance, and compliance.
- Strong understanding of SEC regulations, public company reporting obligations, and stock exchange listing requirements.
- Experience working with publicly traded companies, preferably in the manufacturing, industrial, or related sector.
