Position Overview
Our client is seeking an experienced and highly skilled attorney to join their dynamic legal team as Senior Associate General Counsel - Project Finance. This role will primarily focus on supporting the structuring, negotiation, and execution of complex project finance transactions, including debt, equity, and tax equity financing. Additionally, you will assist on legal matters related to the acquisition, development, and operation of the company's portfolio of renewable energy projects.

Key Responsibilities
- Provide expert legal counsel on all aspects of project finance transactions, including structuring and negotiating financing agreements such as loan agreements, security documents, intercreditor agreements, and tax equity structures.
- Collaborate with internal teams-including development, finance, engineering, and operations-to identify, manage, and mitigate legal risks while aligning with the company's objectives.
- Draft, review, and negotiate a variety of commercial agreements, including EPC agreements, O&M agreements, PPAs, and real estate-related documents (e.g., leases and easements).
- Partner with external stakeholders, including lenders, investors, and external counsel, to ensure timely and efficient financial closings.
- Ensure compliance with applicable laws, regulations, and internal company policies across all transactions and agreements.
- Monitor and advise on legal developments impacting renewable energy financing, project development, and regulatory compliance.
- Build and maintain strong relationships with external counsel to ensure high-quality and cost-effective legal support.
- Provide legal guidance and support for various ad hoc matters related to renewable energy projects as needed.
Qualifications
- J.D. from an accredited law school and admission to practice in at least one U.S. jurisdiction.
- A minimum of 5 years of experience leading project finance transactions within the renewable energy sector.
- Expertise in financing structures, including tax equity, construction loans, and long-term debt.
- Strong negotiation, drafting, and communication skills.
- Proven ability to manage multiple transactions and meet deadlines in a high-pressure environment.
- A collaborative mindset with a focus on achieving business objectives.
